2. Chairman's remarks: HTCC to be the cultural and religious hub of the community.

4. Approval of last month's meeting minutes: Nitya proposed to approve, Hima seconded - Approved unanimous.

5. Approval of Special Board Meeting on Sep 9/5/09: Umesh proposed to approve, Pramod seconded. Approved unanimous. Dr, Manhas still raised concern on the word "conflict of interest" in Chairman's address.

6. Treasurer's Report: Sent via email.

7. Membership Proposal by Raman: Raman presented. There were much discussion. Everyone is supposed to send their comments to Raman and can send the comments to the rest of the board. Raman to review and respond or else.

8. Planning Committee Report by Alok: Raman presented the temple plans.

Motion: Approve the conceptual design presented to the board by the planning committee with two prayer halls and a central cultural hall.

Approval: Proposed by Alok, Arun seconded it. Passed with majority.

Motion: Budget of $5000 for the planning committee.

Approval: Proposed by Alok, Arun seconded it. Passed unanimous.

9. Our guests – Invited - Raja Sivagaminathan and possibly Bhargavi Kumar, Lavanya Reddy, Ganesh Prakash, and Shanmugam Maruthai

Attended: Raja Sivagaminathan, Ganesh Prakash and Bhargavi Kumar. Ajit Singh.

1. The guests were informed of the decision of the board taken during the special Board meeting that the petition was invalid because the board cannot do what the petition asks the board to do.

2. Election committee for future election reform – From Board Nitya and Raman. From visiting group – Shirish Kumar, others to be named later. Outside – Deepak Om

3. Areas of concern – Priest management, Quality of Operations, Future election process improvements taking into the lessons learnt from past elections.

10. Arun to send proposal and budget via email. Arun sent the proposal and was passed by majority vote. It was stated by some board members that a more accurate cost estimate should be presented to the board for future proposals.

11. Other Business which could be a response to the petition

1. HTCC to send a letter rejecting the petition.

4. Chairman's address – Discussed Email voting.

Many people liked the concept. During the discussion one thing that was brought out was that some people do not have enough time to read the emails carefully. In fact, couple of folks even admitted that they skip over the lengthy emails - aka the benefits that we want to reap are likely lost in some cases.
There was consensus that email is a good means for information dissemination, and a proposal for email voting could fall into one of two buckets
- Vote via email
- Discuss via email, vote in the next board meeting.

At the end of the discussion it was left to the chairman and the secretary to decide what should be sent for email voting.

5. Planning committee report (Alok). – Dev Manhas presented – Sent to the Board via mail on 8/7/09.

a. Conditional Use Permit - Nov. 10, 2008 letter from Shyam Oboroi to the board explained about. CUP is good and has not lapsed. A scanned copy of the Snohomish County Hearing Examiner Report is being attached to these meeting minutes.

b. Creek relocation can only be done as part of total site preparation effort. Planning committee (PC) is discussing this within the committee.

c. Item 4 of the PC report will be discussed during the next board meeting.

d. Planning committee will present the new temple plan to the board once it is finalized in the committee.

6. EC Report (Hima) – Report sent via email to the board on 8/7/09.

a. Discourse timing on Tuesday (Aug 4) was brought to the attention of the board. EC will take care of this from here on.

b. Discussed better Prasad in the board meeting.

c. Discussed board member involvement in the temple activities. Prepare a board signup sheet for upcoming festivals. No formal motion was proposed.

d. President expressed his concern about LNK talking to devotees about his separation and soliciting to provide them services. It was decided that Krish and Hima will discuss this among themselves and then talk to LNK about the Present's concern. Report to be presented to the board during the next board meeting.

e. LNK employment Aug. 1, 2007 to Oct. 13, 2009.

7. Recording of Board activities about Lakshmi Narayan Kanan between July 11 and Aug 8 board meetings :

a. Lakshmi Narayan Kannan's situation and his activities that led to the action taken by the board during the July 11 meeting and email voting afterwards was discussed in the board. The final document was signed by LNK and the board per Krish's email to the board on July 18, 2009. The original of the signed document is in LNK's file.

b. For the record, email voting results for the revised LNK's Separation and Release Agreement: Unanimous with one abstained.

8. Communication & Community Engagement Committee Report (Umesh) –

a. Balgokulam activities have started.

b. Full proposal to the board in the next board meeting.

9. Treasurer's report (Raman) – Sent to the board on 7/31/09 via email.

a. EC to prepare a compensation package for the priests – by next board meeting. Subbu Chair the committee with Raman, Hima and Virinder as members of the committee.

10. Fund Raising Committee – Name the Chair Person.

a. No name proposed yet. Provide names to the chairman via email.

11. Other Business 1 –

a. Motion - Election Reforms committee with Raman as chair. Raman should pick his team.

After Hours – Two motions were passed by the email voting without much discussion.

New Motion via email for new logo for all HTCC matters – Proposed by Suri Raman and Approved unanimously via email voting.
Separation and Release Agreement between Lakshmi Narayan Kannan and HTCC was voted on by the board via email voting. Passed unanimously with one abstained.

1) Prayers were offered at 9:07 AM. Meeting was called to order at 9:10 AM

2) Election report was presented by Deepak Om with plenty of questions from Dr. Manhas. They were all addressed. Election results were certified by Deepak Om (Election Commissioner). The concerns raised by Dr. Manhas were satisfactorily answered by Deepak Om.

3) Motion: Based on the election commissioner's report, we resolve to create an Election Reforms committee. Proposed by Umesh, seconded by Pramod. Motion passed unanimously.

6) Sunil had to leave. Virinder took over the Secretary's role.

7) Executive Committee Report - the temple activities have gone on well with the following

a) The manager is managing the temple and the transition to the new president should be seamless.

b) The 4^th priest should arriving Seattle at the end of June or first week of July.

c) Virinder requested all the board members to return the keys to him as soon as possible. Received key #C2 from Suri Raman. Others who have them will give them to Hima or Krishna, the manager.

8) Planning Committee Report – Not more than what was done during the last special meeting with Satpathi. The visit by Satpathi was well received by all the board members. The atmosphere was chaotic because the architects were not able to engage in the discussion as much. There should have been two meetings with Satpathi. One with the board and the 2^nd with the architects. Dr. Manhas was requested by the board to provide all the information including all the originals to Alok Mathur, the new chairman of the Planning Committee.

9) Treasure Report – Treasurer presented his report via the projector. Will send the report to the board members via email. Will be attached to the minutes.

10) Concert – Vishwa reported that 370 to 400 tickets have been sold. About 250 left. Most of the $30 tickets have been sold and some higher denomination tickets have been converted to $30 tickets.

Minutes:

1) Prayers were offered at 9:07 AM. Meeting was called to order at 9:10 AM

2) Motion: To approve the minutes of the Mar 29 meeting was proposed by Dr. Manhas, seconded by Bhargavi. Motion was approved unanimously.

3) Motion: To approve the minutes of the Mar 14 meeting – as amended was proposed by Subbu, seconded by Vishwa. Motion was approved unanimously.

4) Virinder presented EC Committee report.

a) The priests will be reporting to the office manager Mr. Krishna Paknikar and on a dotted line to Chairperson Operations. Krishna will be taking care of the operational aspects such as scheduling of the priests attendance, priest timings, office management etc.

b) Change the temple open timings on weekdays from 8 to 11 to 8 AM to 2 PM. The priest services will not be available on a regular basis between 11AM to 2PM. They will have to be scheduled with the manager.

c) The password to the security system will be only with EC President, Operations Chair, Web Chair and Primary Office Manager. Any EC Member can request to review the video; the office manager can show it to them after getting the permission via the Operations Chair or via the EC President.

d) Proposal to keep the Security system video for one month. Subbu to explore the alternatives and report back to EC.

e) Vishwa Gaddamanugu no longer in EC, pending Board approval.

5) Virinder withdrew the motion of asking to dismiss Vishwa from the EC.

6) Motion: Vijay & Raman to present a big picture view driven off of the financial analysis. This report should be presented by April 30, to be discussed in the May 9 meeting. Motion was proposed by Raman, seconded by Vishwa. Motion was approved unanimously.

7) Motion: All large donors (people who have donated greater than or equal to $10k) will be offered two complimentary admission tickets to the Yesudas fund raiser event. Motion was proposed by Umesh, seconded by Pramod. Motion was approved unanimously.

8) Motion: Number of trustees to be elected in 2009 AGM will be 6. Motion was proposed by Pramod, seconded by Vishwa. Motion was passed by majority.

2) Planning committee presented the issues with funding and the estimated cost of the current design. Further discussion is postponed till next meeting.

3) Motion: HTCC will host a web-page (guidelines to be provided on the web) provided by any member of HTCC who wants to stand for an upcoming election to the board of trustees as long as the web page was provided from 4 weeks before the election to 1 week before the election. The official nominations for election will still be on the floor of the GBM per the constitution. Virinder proposed the motion, Umesh seconded it. Motion was approved unanimously.

4) Motion: For 2009 GBM, we will have nominations in the GBM followed by extended voting till 4pm. Sunil Shah proposed the motion, Pramod seconded it. Motion was approved unanimously.

5) Motion: Form a constitution committee to propose constitutional amendments for 2009, this committee to be headed by Dr. Manhas. Motion was proposed by Umesh, seconded by Bhargavi. Motion was approved unanimously.

6) Motion: Election process reforms committee needs a budget of $10K to modernize membership verification process. Raman proposed it, Pramod seconded it. Motion was approved unanimously.

7) Resolution of petition item was moved to next board meeting.

2. Raman presented the report from the Election Process Evaluation sub-committee.

3. Motion: “Election Process Sub-committee should recommend a process to create a fair and representative body by Mar 27, 2009, these recommendations will be reviewed by the board in a special meeting on Mar 29, 2009”. Motion was proposed by Raman and seconded by Nitya. Motion passed unanimously.

4. Motion: “Election Process Sub-committee will consist of Suri Raman, Deepak Om, Dev Manhas”. Motion was proposed by Raman, seconded by Vishwa. Motion passed unanimously.

5. Motion to approve minutes of the February 14^th, 2009 meeting was proposed by Raman, seconded by Pramod. Motion was approved unanimously.

6. Motion to approve minutes of the February 1, 2009 meeting was proposed by Raman, seconded by Pramod. Motion was approved unanimously.

7. Virinder presented the EC Report. He will be emailing the report.

8. Petition filed by Jagdish Madhav and supported by more than 5% of the membership was discussed in the meeting. In light of time, further discussion was deferred till the next meeting.

9. Motion: Any guests desiring to attend a board meeting must notify the secretary and the chairman of the board one day prior to the meeting. Motion was proposed by Raman and seconded by Bhargavi. Motion was approved unanimously.

10. Due to time limitation, items 8 through 12 on the agenda were not discussed.

Minutes:

1. Prayers were offered at 9:05 AM. Meeting was called to order at 9:10 AM

2. Motion to approve minutes of the January 10^th, 2009 meeting was proposed by Umesh, seconded by Pramod. Motion was approved unanimously.

3. Minutes of the Feb 1^st, 2009 meeting will be approved in the Mar 2009 meeting. The final deity layout is to be printed by Vishwa, signed by all board members present at the Feb 1, 2009 meeting.

4. Sunil Shah (current Joint Secretary) becomes the Secretary since the current secretary(Mr. Shyam Oberoi) has resigned.

5. Nomination: Umesh nominated Bhargavi Kumar as Jt. Secretary, seconded by Pramod. Nomination was accepted & approved unanimously.

6. Hima presented the EC Report, Hima will be forwarding email report.

7. Motion: Hima proposed a motion to hire Mr. Vasudeva Sharma as a priest subject to satisfactory reference checks, background checks as well as visa requirements being met. Pramod seconded it. Motion was approved unanimously.

8. Motion: Hima proposed a motion to get a budget approval for external tent repair or replacement up to $5,000. Nitya seconded it. Motion was approved unanimously.

9. Raman presented the treasurer’s report.

10. Nomination: For board member vacancy created by Shyam Oberoi’s resignation – Subrahmanyam Kandikattu was nominated by Nitya, seconded by Arun. Lavanya Reddy was nominated by Vishwa, seconded by Umesh. Subbu was elected by majority.

11. Ethics Committee Report: Umesh (chair, Ethics committee) presented that the Ethics issue raised by Vishwa was an act of being disrespectful rather than an Ethics Violation. As such, Arun accepted & apologized to the board for being disrespectful. Moral of the whole discussion is – be respectful in the way we communicate with everybody, be tolerant & forgiving especially when somebody is genuinely remorseful & trying to make amends.

12. Vishwa presented the fund raising committee report.

13. Motion: Hema proposed that the board approve an incremental budget of $1200 for Padukas. Fund raising committee expects to raise $50K as a result of this Venkateshwara Paduka Drive. Vishwa seconded it. Motion was approved unanimously.

14. Nomination: Raman was nominated to lead the election sub-committee. Seconded by Amin. The charter of this committee is to create & define a streamlined election process. Motion was passed unanimously.

15. Raman presented a preliminary report of the Sub Committee for death/birth policies.

16. Motion: Vishwa proposed a motion to publish all the sub-committees of the board and EC along with their memberships on the web-site. Bhargavi seconded it. Motion was approved unanimously. Krish and Virinder will work with the web-master to get this information published.

17. Policies regarding Matching Funds: Board has already drafted policies regarding what donations can be matched. These policies are displayed in the board room. Board asked Hima (acting president, EC), to make sure that these policies are being followed as volunteers and others collect funds & matching forms during different occasions.

18. Priest Compensation Plan – this discussion is postponed till next meeting.

2. Motion: There was a procedural error during the Nov 23, 2008 special board meeting while passing of Motions 3.C(one proposed by Sunil Ummat) & 3.D(one proposed by Suri Raman). Motion is to nullify those two motions to be consistent with the constitution. Umesh Amin proposed the motion and was seconded by Pramod Gupta. Motion was approved unanimously.

3. Motion: This motion was proposed by Dr. Manhas & seconded by Vishwa. This motion was approved unanimously. To approve the Jan 9, 2009 mutually agreed and signed Deity Placement for second phase of the HTCC by the Ashish Sompura & Mr. Selvanathan Sthapaty with the following amendments.

12. Vishwa's complaint against the Secretary, HTCC Board of Trustees: Ethics Committee Chairman, Umesh Amin explained that the complaint was simply a passionate discussion and does not rise beyond the bar for any investigation and Vishwa agrees.

13. New business including “Bereavement and temple visit”: The matter presented by Virinder was discussed in detail.

Umesh made a motion “A sub committee under the chairmanship of Suri Raman as chairman be formed to frame a policy in regard to funeral and death related matters. Nitya seconded the motion. The motion was adopted.

Umesh amended the earlier motion to include “birth” also. Vishwa seconded the motion. It was adopted.

Umesh made a motion “Sub Committee chair to form the subcommittee and send it for approval by the Board members by email and submit a proposal by the next Board meeting.” Pramod seconded the motion. It was adopted.

Bhargavi made a motion “Until the formal recommendations are ratified by the Board, no rituals relating to birth /funeral be performed in the temple until 12 days after birth/death.” Hema Marreddy seconded the motion. It was adopted.

Virinder made a motion “Allow EC to sanctify the temple in 10 days.” Dr. Manhas seconded the motion. It was adopted.

Chairman Ganapathy Krishnan directed the EC president Virinder to put the information in regard to the happenings and temple views and developments on the HTCC web site.

7. Nominate and elect New Board member: The vacancy created by the resignation of Dr. Virender Sodhi was to be filled. Vishwa nominated Bhargavi Kumar. Nitya nominated Subu. Bhargavi was elected by a majority vote.

8. Executive Committee Report: Hima presented the EC report. It was decided that the volunteers would paint the stage; Hall will be painted by contracted labor with paint provided by HTCC. All other areas will be painted later as phase 2 painting.

9. Religious Committee – Priests complaints, how they are handled: Low /non-performance of the priests was discussed. Sunil will come up with a proposal for reprimand /penalties for non-compliance of rules and low performance by the priests.

10. Planning Committee Report – Progress on resolving differences: One phone conference took place with Architect Bakshi Sompura. Vishwa will provide a budget to cover expenses towards Deity layout in one week.

11. Discussion on Employee Compensation: Hima stated that the average compensation per priest including family comes to about $3000.00 per month. Shyam furnished the details of the medical insurance and coverage provided to the priests and their families. Sunil will come up with a proposal regarding compensation package including amount of priest cut for outside poojas and defining limits of medical benefits and plan to handle medical expenses.

3. Placement of Deities for Phase II

A. On inquiry from Krish, Sanjeev stated that HTCC is not bound to submit the Deities plan by April 23, 2009. There are some submittal requirements by the county and they will work on those.

B. The plan showing the placement of deities as agreed by Sri Vaidyanatha Sthapati Associates on Oct. 30, 2008 and approved by planning Committee was presented for discussions. Reservations were expressed by some members about the adoption of the present plan. There was general consensus that Planning Committee has a much wider role including placement of duties. The planning Committee should form a team exclusively for the task of placement of deities.

C. Sunil Ummat made the motion "Planning Committee should revisit the Deity plan and come back with a comprehensive balanced plan by January 15, 2009". Pramod seconded the motion. It was approved unanimously.

D. Suri Raman made the motion "Planning Committee Chairman should send biweekly updates to Board". Arun seconded the motion. It was approved unanimously.

E. Board collectively formulated the following assumptions and guidelines for designing the deities' placement.

1. Size and expression of shrines should be identical

2. Temple be continued to be called Hindu Temple and Cultural Center.

3. Thirteen Approved deities: 1. Sai Baba 2. Ganesha 3. Subramaniam 4. Shiva 5. Durga 6. Mahalakshmi 7. Venkateshwara 8. Ram Parivar 9. Radha and Krishna 10. Jain Digamber 11. Jain Shwetamber 12. Navagrah 13. Jagan Nath. (Hanuman, Parvati and Andal not approved)

4. No presiding deity (Vishwa would have preferred Shiva and Vishnu)

5. Qualification of Sthapaty(s).

6. Logical grouping and positioning of deities per Vaastu and Vedic Principals.

7. Shrines need to have ample space in front for about 35 devotees

8. Slots for five future deities

F. Umesh made the motion"Above eight assumptions and guidelines be used by the Planning Committee for designing the deity placement and will be used by the Board for final decision". Nitya seconded the motion. It was approved unanimously.

4. Compensation Policies for HTCC Employees: No discussions took place.

4. Vishwa raised the issue that the board circumvented processes by not informing some members of the board about buying the property in item 1. Vishwa will bring to surface other issues where processes have been circumvented.

9. Financial team was formed to streamline the HTCC finances. The plan must have principal preservation clause. The team members are:

5. EC Committee Report – Virinder reported that:

A. The North Indian priest (Mr. Jha) to whom the offer has been made has an appointment with the US consulate on Nov. 21, 2008.

B. The South Indian (Telugu) priest (Mr. Upendra) who has been offered the job is not responding. Communication with him is difficult because of his lack of English speaking skill. Vishwa and Virinder will together call him and find about his plans.

C. Priest Lakshmi Naraynan has applied for vacation from Jan.11, 2009 to Feb. 16, 2009. Dev Manhas stated that a priest from another temple is available on temporary basis. Virinder will get the details from Dev Manhas.

D. Percentage of fee for outside poojas to the priest(s) and Dakshina amount to be suggested need to be reviewed. General consensus was to have a special Board meeting to discuss priest(s) compensation. The meeting has been scheduled for Sunday, Nov.23^rd. 2008 at 9 AM in the temple.

E. Diwali celebration was a great success. Some lessons were learnt for improvements in the future.

F. Yoga classes are conducted every Sunday from 8.00 AM to 9 AM.

G. Bids have been received for interior painting. These vary from $8,500 to $23,000. General consensus was that painting should be done by volunteers. Vishwa has offered to lead this effort. He will organize this task and get it executed by Dec.31, 2008.

H. Virinder made a motion to hire a part time manager with flexible schedule to fill in when the volunteers and /or manager is not available as well as to help the manager whenever needed. Hima seconded the motion. The motion was adopted. Virinder will prepare a note detailing the need and justification for the part time manager for the purpose of record.

I. New computer has been installed and is in the process of being made functional.

6. Fund raising committee report: The Manjunath Brothers concert was a break even event. The Bhairav Se Bhairavi Concert resulted in a net gain of $ 10132. Hema has a target of raising $20,000 from Lakshmi coins which is the present campaign. Hema has a plan to raise $40,000 from sponsorship of Venkateshwara Padukas. She requested a budget of $2,500 for the effort. Nitya made a motion for approval of $2,500 for the Paduka campaign. Arun seconded it. The motion was adopted. All Board members appreciated the fund raising efforts of Hema.

7. Planning Committee Report: Dr. Manhas presented the deities' plan suggested by the Planning Committee to the Sthapaty as well as the revised plan recommended by Sthapati. There were detailed discussions. General consensus was that the Planning Committee should meet again and make a presentation in the special Board meeting scheduled for Nov. 23^rd.

Treasurer's Report: Hima provided the following numbers as balances:

US Bank: $72,462.10

MSDW Bank: $561,982.23

Van Guard: $1,160,000.00 (approx).

8. Planning Committee Report: Dev Manhas presented the revised Phase 2 Temple layout and a write-up prepared by Sthapati R. Selvanathan of Sri Vaidyanatha Sthapati Associates, Chinnai. These are on record. Work on relocation of the creek will be initiated after getting specs from the architect. Dev Manhas also stated that the ground breaking date could be announced in the month of Sept.

9. Fund Raising Committee Report: ViIrender Sodhi stated that effort will be made to come up with attractive broachures with information about the new temple and its drawings. Major donors will be identified and approached for funds.

10. Backend Automation: The Board authorized to open an operational account. The Board also asked treasurer and Joint treasurer to come up with a proposal on other issues such as debit/credit cards and which financial institution to use.

6. New Business:

A. Nitya requested for a budget of $5000.00for repairs and upkeep of the new residential property and the existing property used as priest residence. Virinder made a motion to approve the budget. Sunil seconded it. The budget was approved unanimously. Dr. Manhas will provide to Nitya the details of a roofer and a handyman who are good and reasonable.

B. Dr. Sodhi made a motion proposing a vote of thanks for the outgoing Chairperson Dr. Dev Manhas and President Executive Committee Vishwa Gaddamanugu. The motion was seconded by Nitya. It was adopted unanimously.
